Terms of Service

1. About KairosDesk

KairosDesk is a cloud-based practice workflow platform for accounting firms, operated by LLWC Tech Deck Pty Ltd (ABN 29 696 393 843) ("we", "us", "our"). By creating an account or using the KairosDesk platform, you agree to these Terms of Service. If you do not agree, do not use the platform.

2. The Service

KairosDesk provides tools to help accounting firms manage client onboarding, document collection, entity identification, AML/CTF verification, and related compliance workflows. The platform is provided as a software-as-a-service subscription. We reserve the right to modify, update, or discontinue features of the platform at any time, with reasonable notice where practical.

3. Accounts and Access

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and must notify us immediately if you become aware of any unauthorised access. Each firm account may have multiple staff members. You are responsible for all activity under your firm's account. We reserve the right to suspend or terminate accounts that breach these terms.

4. Subscription and Payment

Subscription fees and billing terms are agreed at the time of signup and set out in your order confirmation. Fees are exclusive of GST unless stated otherwise. We reserve the right to change subscription pricing with at least 30 days written notice. Cancellation terms are set out in your subscription agreement.

5. Data and Privacy

You retain ownership of all data you upload or create in KairosDesk ("Your Data"). You grant us a limited licence to store, process, and transmit Your Data for the purpose of providing the service. We handle personal information in accordance with our Privacy Policy and the Australian Privacy Act 1988 (Cth). We store Your Data on servers located in Australia (Sydney region). Sensitive data including tax file numbers is encrypted at rest and deleted from our systems once recorded by your firm. AML/CTF verification records are retained for 7 years as required by the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth). On termination of your subscription, we will retain your data for a reasonable period to allow for retrieval, after which it will be deleted. Contact us to request early deletion or export of your data.

6. Your Responsibilities

You agree to use the platform only for lawful purposes and in accordance with these terms. You must ensure your use of KairosDesk complies with all applicable laws and regulations, including the Privacy Act 1988 (Cth) and the Tax File Number Guidelines. You must not attempt to access, modify, or interfere with any part of the platform or its underlying infrastructure. You must ensure that all staff members accessing the platform under your account are aware of and comply with these terms.

7. Intellectual Property

KairosDesk and all associated software, content, and materials are the intellectual property of LLWC Tech Deck Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your firm's internal purposes. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

8. Subprocessors

We use the following third-party subprocessors to deliver the service:

• Fly.io — application hosting (Sydney, Australia)
• Supabase — database hosting (Sydney, Australia)
• Amazon Web Services — file storage (Sydney, Australia)
• Resend — transactional email delivery
• Anthropic — document classification and entity extraction
• Sentry — error monitoring with personal information protections enabled

9. Limitation of Liability

To the maximum extent permitted by law, LLWC Tech Deck Pty Ltd excludes all liability for any indirect, consequential, special, or incidental loss or damage arising from your use of the platform. Our total liability to you for any claim arising under or in connection with these terms is limited to the fees paid by you in the three months preceding the claim. Nothing in these terms excludes any rights you may have under the Australian Consumer Law that cannot be excluded by agreement.

10. Availability

We aim to provide a reliable and available service. We will provide reasonable notice of planned maintenance where practical. We do not guarantee uninterrupted availability.

11. Termination

Either party may terminate the subscription in accordance with the subscription agreement. On termination, your access to the platform will cease. We reserve the right to suspend or terminate access immediately if you breach these terms.

12. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated by email or in-platform notification at least 14 days before taking effect. Continued use of the platform after that date constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the State of Victoria, Australia. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of Victoria.
